Significant Caterpillar Announcement

June 12, 2008

Dear Rocky Mountain Fleet Manager Members:

As a loyal and valued Cat truck engine customer, we wanted you to know that Caterpillar Inc. and Navistar International Corporation have signed a non-binding Memorandum of Understanding (MOU) to pursue global on-highway truck business opportunities and cooperate on a variety of engine platforms.

Alliance Overview

The two companies intend to focus on global truck opportunities, as well as technology development and cooperation for engines worldwide. We are pleased to be matching the impressive talents and technology leadership of two industry leaders to serve an expanding base of engine, truck and equipment customers worldwide.

Caterpillar and Navistar bring complementary strengths to the alliance. The combination of Navistar expertise in truck design, development and manufacturing and Caterpillars unparalleled worldwide distribution capabilities will create significant advantages for customers worldwide.

Through this alliance, Caterpillar plans the introduction of a North American Cat heavy duty truck for severe service applications. Concurrent with this new strategic direction, Caterpillar has determined that it will not supply EPA 2010 compliant engines to truck and other on-highway original equipment manufacturers (OEMs). Caterpillar and our dealers will continue to provide product support and service well beyond 2010 for all Caterpillar On-Highway Engines regardless of truck brand.

This move is a natural extension to Caterpillars core business and is a perfect example of our strategy to be a total solutions provider. Caterpillar vertically integrated vehicles will provide you, the customer, enhanced value in overall productivity, reliability, performance, operating cost, fuel economy and resale value just as we do today with Cat off-highway machines.

Under the alliance, Caterpillar and Navistar plan to collaborate on engine development, incorporating best-in-class technologies from both companies. Caterpillar and Navistar intend to work together on development of mid-range engines for light duty diesel applications. This engine development supports our stated path not to utilize urea-based Selective Catalytic Reduction (SCR) technology. The companies will also expand their existing remanufacturing relationship to include the recently introduced Navistar MaxxForce line of on-highway engines.

Today through 2009

For you, our customer, there is no change for the remainder of 2008 and for 2009. You will continue to purchase and operate Cat engines with confidence. Caterpillar engines will continue to be available from the same OEMs as today. Caterpillar engines with ACERT Technology still represent the best value for customers in terms of meeting the stringent 2007 emissions regulations and providing the best in customer value.

You will continue to have the same options for Caterpillar product support as today. Caterpillar and our Cat Dealers will continue to be a key source for outstanding product support for your fleet as they have in the past. Caterpillar parts availability, training and support will continue to be available to the OEM truck dealers who currently serve you and your fleet.

Caterpillar has participated in the on-highway market for more than 40 years. Many of you have been customers for many of those years and we thank you for your business. You have been a part of the many changes that have happened over those years. Today, we are announcing another exciting change in our participation in the on-highway business. We believe we are positioning Caterpillar to be in a stronger position to serve you in the future and hope that you share our excitement. We are looking forward to continuing our relationship and hope you will allow us to provide Cat products and support to you for many years to come.

Your local Caterpillar representatives will be contacting you in the coming weeks to discuss the benefits of the exciting new Caterpillar initiative with you and your management team.

Sincerely,

George H. Taylor
Director and General Manager
Global On-Highway
Caterpillar Inc.
